DKSH Supplier Code of Conduct

At DKSH, we are committed to excellence in conducting our business, which includes conducting all our activities with the highest degree of integrity. We advocate integrity of the supply chain as part of our business strategy, and we are committed to responsible business practices based on international standards and expect the same of our Business Partners and Vendors (such as suppliers of materials, service providers, contract manufacturers, etc.), herein referred to as “Suppliers”.
DKSH는모든비즈니스활동을탁월하게수행할뿐만아니라최고주준의무결성을가지도모든비즈니스를수행하기로다짐합니다.DKSH는사업전략의일환으로공급망의무결성을옹호하며,국제표준을기반으로한책임있는사업관행에따를것임을약속하고,귀하도DKSH비즈니스파트너및공급업체[자재공급업체,서비스제공업체,계약생산업체,기타구매업체등(이하“공급업체”라칭함)]로서동일한약속을하여줄것을기대합니다.(이하"공급업체"칭함).

DKSH expects Suppliers to meet the standards as described hereinafter in all activities that relate directly or indirectly to DKSH and any of its subsidiaries. Adherence to this Supplier Code of Conduct is one of the criteria applied by DKSH in Supplier evaluation, selection and retention. DKSH shall have the right but no obligation to evaluate Suppliers’ compliance with this Supplier Code of Conduct, herein also referred to as “Code”, in determining whether Suppliers meet DKSH’s expectations. Suppliers that do not conform to these standards may be disqualified from doing business with DKSH and may have their business relationship with DKSH terminated.
DKSH는공급업체가DKSH및자회사와직접또는간접적으로관련된모든활동에서아래에설명된기준을충족할것을기대합니다.이공급업체행동강령준수는DKSH가공급자평가,선택및보유에적용할기준중하나입니다.DKSH는공급업체가DKSH의기대를충족시키는지여부를결정할때공급업체의행동강령준수여부를평가할권리("강령"라고도함)를갖지만이에대한의무는없습니다.이러한표준을따르지않는공급업체는DKSH와의거래에서실격당할수있으며DKSH와비즈니스관계를종료할수있습니다.

This Supplier Code of Conduct is closely aligned with DKSH’s Code of Conduct. It does not replace laws and regulations applicable to the Supplier. DKSH expects that Suppliers operate in compliance with applicable laws and regulations as well as this Code. Where this Code may be conflicting with applicable laws and regulations, the latter must be followed.
이공급업체행동강령은DKSH의윤리강령과밀접하게일치합니다.공급업체에적용되는법률및규정을대체하지는않습니다.DKSH는공급업체는본강령뿐만아니라해당법률및규정을준수하여운영될것으로기대합니다.본공급업체행동강령이관련법규와상충될수있는경우,후속조치를따라야합니다.


1. Lawful and ethical business conduct

DKSH believes in free markets, fair competition and responsible marketing practices. Suppliers shall always act in a lawful and ethically sound manner, and shall not offer, provide or accept any undue favors to obtain or retain DKSH business. No intermediaries, such as agents, consultants or any other business partner shall be used to commit corrupt acts or bribery.

Suppliers shall observe the following requirements:

• DKSH does not do business with Suppliers that do not respect the rule of law and may negatively affect DKSH’s reputation. DKSH expects all its Suppliers to follow all applicable laws and regulations, to apply high ethical standards, and to always act with integrity in all their business dealings.

• Suppliers shall observe the rules of fair competition and shall not adopt any practices that may have an adverse effect on DKSH. All forms of bribery, corruption, extortion or embezzlement are strictly prohibited. Suppliers shall never offer, pay, solicit or accept any bribes or other forms of illegal or unethical inducement in business relationships or especially when dealing with public officials and/or healthcare professionals, and they shall never make use of third parties to do such things on their behalf.

- Gifts and Entertainment: Gifts and/or any form of entertainment shall never be offered, promised or paid on behalf of DKSH or to DKSH employees or intermediaries for obtaining or retaining business. Any gifts or entertainment shall be modest, reasonable and infrequent.

- Facilitation payments: Facilitation payments generally are low value favors (e.g. cash, samples) offered to public officials to accelerate or prevent a non-discretionary routine action. DKSH does not tolerate facilitation payments and expects the same from its Suppliers.

공급업체는공정경쟁원칙을준수하고DKSH에악영향을미칠수있는관행을채택해서는안됩니다.모든형태의뇌물,부패,강요또는횡령은엄격히금지됩니다.공급업체는비즈니스관계에서어떠한뇌물이나기타형태의불법적이거나비윤리적인유인을제공하거나지불하거나요구하거나수취하는행위는절대로할수없으며,특히공무원및의료전문가와거래할때에도동일하게절대로하지않을것이며,또한이러한행위를공급업체를대신하여할수있는제3자를사용하지도않을것입니다.

- 선물및접대: 선물및또는모든형태의접대는사업을얻거나유지하기위해DKSH또는DKSH직원또는중개인에게약속하거나지급될수없습니다.모든선물이나접대는적절하고합리적이며빈번하지않아야합니다.

- 급행료지불: 급행료지불은일반적으로재량권이없는일상적인행동을조속하게하거나방지하기위해공무원에게제공되는낮은가치의선물(예:현금,샘플)입니다.DKSH는급행료지불을용납하지않으며공급업체도동일한원칙을기대합니다.

• Suppliers shall disclose any conflict of interest situation prior to entering a relationship with DKSH, or as soon as such a situation arises during an ongoing relationship. All business dealings between the Supplier and DKSH and its employees shall always be open, fair and transparent.
공급업체는DKSH와의비즈니스관계를시작하기전에는물론진행중인때에도이해상충상황이발생할경우즉시공개해야합니다.공급업체와DKSH및직원간의모든비즈니스거래는항상공개적이고공정하며투명해야합니다.

• All workers should be encouraged to report concerns or illegal activities in the workplace, without threat of reprisal, intimidation or harassment. Suppliers shall investigate and take corrective action if needed.
모든근로자는보복,협박또는괴롭힘의위협없이직장내에서발생할수있는불법활동을신고하도록권장해야합니다.공급업체는필요시이를조사하고시정조치를취해야합니다.

• Supplier shall safeguard and make only proper use of confidential information to ensure that company, workers and business partner privacy rights are protected with applicable confidentiality and intellectual property laws and regulations.
공급업체는공급업체,근로자의비밀정보를안전하게보호하고사용해야할뿐만아니라비즈니스파트너의개인정보도해당비밀유지및지적재산권법률및규정에따라안전하게보호하고사용해야합니다.

• Supplier at all times shall maintain compliance with applicable laws, regulations and rules governing the cross-border exchange of goods, service and data, including but not limited to export controls, embargoes, trade sanctions, customs and anti-boycott laws.
공급업체는수출통제,수출금지,무역제재,관세법및반보이콧법을포함하되이에국한되지않는규정에따라상품,서비스및데이터의국경간무역을관장하는적용가능한법률,규정및규칙을항상준수해야합니다.

• Supplier shall comply with applicable accounting laws and standards. All transactions must be properly and accurately recorded and supported by proper documentation. Supplier shall never directly or indirectly make any false or misappropriate or unlawful transactions on behalf of DKSH.
공급업체는적용가능한회계법률및표준원칙을준수해야합니다.모든거래는적절한문서에의해적절하고정확하게기록되고유지되어야합니다.공급업체는DKSH를대신하여허위또는부당하거나불법적인거래를직접적으로또는간접적으로해서는안됩니다.


2. Labor and human rights

Suppliers shall uphold the human rights of workers and treat workers with dignity and respect.
공급업체는노동자의인권을존중하고노동자를존엄과존중으로대우해야합니다.

2.1 Freely chosen employment

Suppliers shall observe the following requirements:
공급업체는다음요구사항을준수해야합니다:

• The Suppliers’ employees or workers have chosen their employment freely and they are fully paid for the work they do. They are free to leave their jobs after reasonable notice and are paid on time and in full for the work they have done prior to leaving.
공급업체의직원또는근로자는자신의직업을자유롭게선택했으며자신이수행하는업무에대한급여는완전히게지급됩니다.그들은합리적이고법에따라통지를한후자유롭게일자리를떠날수있으며떠나지전까지일했던급여는법률이정해진기간내에전액지급됩니다.

• Suppliers shall not use any form of forced or involuntary labor, including bonded labor, prison labor or indentured labor
공급업체는단체노동,구금노동또는노예노동을포함한어떠한형태의강제또는비자발적노동도사용해서는안됩니다.

• Supplier shall not engage in or support any other form of modern slavery or human trafficking
공급업체는어떤형태의현대식노예제도또는인신매매노동를하지말아야합니다.

• Workers are not required to hand over their identity papers to secure employment unless required under local law. If so, workers shall have access to their identity papers immediately upon request.
근로자는대한민국법률에따라요구되지않는한고용을보장하기위해신분증명서를양도할필요가없습니다. 양도하였다면,근로자의요청시즉시신분증명서를이용할수있어야합니다.

• Workers do not have to pay deposits or similar, to secure work or accommodation provided by the Supplier, or to obtain tools, training or equipment necessary to carry out their work
근로자는공급업체가제공한업무또는편의를제공하거나업무를수행하는데필요한도구,훈련또는장비를제공받기위해예치금또는유사한담보를제공할필요는없습니다.


2.2 Child labor

Suppliers shall observe the following requirements:
공급업체는다음요구사항을준수해야합니다:

• The Suppliers’ employees or workers have chosen their employment freely and they are fully paid for the work they do. They are free to leave their jobs after reasonable notice and are paid on time and in full for the work they have done prior to leaving.
공급업체는최소근로연령이하또는의무교육연령미만의아동을고용하거나기타형태로고용해서는안됩니다

• Suppliers shall not use any form of forced or involuntary labor, including bonded labor, prison labor or indentured labor
합법적으로고용된18세미만의젊은노동자는위험한작업이나야간근무를하지않아야합니다.

• Supplier shall not engage in or support any other form of modern slavery or human trafficking

2.3 Remuneration and working hours

Suppliers shall observe the following requirements:
공급업체는다음요구사항을준수해야합니다:

• Workers shall be paid according to applicable wage laws, including minimum wages, overtime hours and mandatory benefits; basis upon which workers are paid (including benefits) and whether overtime will be required and the wages to be paid for such overtime must be communicated timely
근로자는노동관계법에따라최저임금,연장근무시간및복지혜택을포함하여지급받아야합니다.근로자가지급받는급여(복지혜택포함)와연장근로시간이요구되는지에대한지급기준,연장근로시간에대한급여가지급되는지에대한정보가적시에전달되어야합니다.

• Working days and hours (incl. overtime), and rest time (breaks, time off) are aligned with local laws
근로시간(연장근로시간포함),휴식시간은법에따라야합니다.

• All legally required benefits are paid to workers on time and in full; workers shall not be required to do unpaid work
합법적으로요구되는모든복지혜택은적시에모두근로자에게지급됩니다. 근로자에게무임금노동을요구할수없습니다.

• Workers receive payment slips that provide transparency how wages were computed; deductions shall only be made according to local laws
근로자는임금계산방법을투명하게제공하는지급명세서를받습니다. 급여공제는법률에따라서만이루어져야합니다.


2.4 Non-discrimination

Suppliers shall observe the following requirements:
공급업체는다음요구사항을준수해야합니다:

• Workers shall not suffer from harassment or discrimination at any time during recruitment and whilst in employment for any reasons such as race, color, age, gender, sexual orientation, ethnicity, religion, disability, political affiliation, union membership, pregnancy or marital status, or any other form of harassment or discrimination.
근로자는인종,피부색,나이,성별,성적취향,인종,종교,장애,정치단체가입,노동조합가입,임신,혼인여부와같은이유로인한괴롭힘,차별및다른형태의괴롭힘,차별을채용과정및근무중에당하지않습니다

• Supplier shall respect individuals in a manner consistent with the rights to privacy and data protection.
공급업체는개인정보보호및데이터보호권리에적합한방식으로개인정보를보호해야합니다.


2.5 Freedom of association and collective bargaining

Suppliers shall observe the following requirements:

• Suppliers shall respect workers’ rights under local laws to join or form trade unions or worker committees without fear of reprisal or discrimination
공급업체는보복또는차별을두려워하지않고법률에따라근로자의권리를존중하고노조또는노사위원회에가입하거나결성할수있어야합니다.


2.6 Fair treatment

Suppliers shall observe the following requirements:
공급자는다음요구사항을준수해야합니다:

• Suppliers shall apply fair employment practices and provide workplace free of any harsh or inhumane treatment, including sexual harassment or abuse, corporal punishment, mental or physical coercion or verbal abuse
공급업체는공정한고용원칙을적용하고성희롱이나학대,체벌,정신적또는육체적강제또는언어폭력을포함하여가혹하거나비인간적인처우로부터자유로운직장을제공해야합니다.

• Suppliers shall ensure that workers understand disciplinary and grievance procedures, and any fines or similar imposed on workers are legal and fair
공급업체는근로자가징계및불만절차를이해하고,근로자에게부과되는벌칙또는이와유사한벌금이합법적이고공정하다는것을확인해야합니다.


3. Health, Safety and Environment

DKSH expects Suppliers to offer safe workplaces for workers and to care about their health and well-being by protecting them against occupational hazards. Suppliers shall respect the environment and shall take adequate measures to protect the environment and to minimize adverse impacts.
DKSH는공급업체가근로자에게안전한작업장을제공하고산업재해로부터근로자를보호하여건강과복지를돌보는것을기대합니다. 공급업체는환경을존중하고환경을보호하고악영향을최소화할수있는적절한조치를취해야합니다.

Suppliers shall observe the following requirements:
공급업체는다음요구사항을준수해야합니다:

• Suppliers shall have an appropriate management system in place to identify and mitigate workplace hazards, and to prevent injuries and illnesses. Workers shall be equipped with adequate safety equipment.
공급업체는작업장위험을식별하고완화하고부상및질병을예방할수있는적절한관리시스템을갖추고있어야합니다.근로자는적절한안전장비가갖추어져있어야합니다.

• Suppliers shall comply with all applicable laws and regulations and shall obtain and maintain all applicable permits, licenses, approvals, registrations and the like required for the operation of their business and shall follow any related reporting requirements
공급업체는모든관련법률및규정을준수해야하며비즈니스운영을위해요구되는필요한모든허가,라이센스,승인,등록등을획득하고유지해야하며,이와관련하여요구되는보고를준수해야합니다

• Suppliers shall have an appropriate management system in place to prevent spills and to handle waste in an environmentally responsible manner (recycle, safe destruction), to preserve water resources and to minimize emissions. Waste or emissions with potential adverse effects on humans or the environment shall be appropriately treated before releasing.
공급업체는유출을방지하고환경적으로책임있는방식(재활용,안전한폐기)으로폐기물을처리하고,수자원을보존하며배출량을최소화할수있는적절한관리시스템을갖추고있어야합니다.사람또는환경에잠재적으로악영향을미치는폐기물또는배출물은배출되기전에적절하게취급되어야합니다.


4. Management system

• Supplier must establish and maintain a management system reasonably designed to ensure compliance and to facilitate continuous improvement with respect to this Code. Supplier must ensure that this Code is appropriately communicated to all its directors, officers, employees, representatives, agents and subcontractors that cater to DKSH’s business whilst being a Supplier to DKSH (“Supplier Associates”).
공급업체는본행동강령을준수하기위하여본행동강령과관련한지속적인개선을용이하게하기위해합리적으로설계된관리시스템을수립하고유지관리해야합니다.공급업체는본윤리강령이DKSH의공급업체가되는동안DKSH의업무를수행하는모든이사,임원,직원,대리인,협력사에게적절하게전달되도록해야합니다.

• Supplier must maintain all documentation necessary to demonstrate compliance with this Code and compliance with applicable regulations and will provide DKSH, its subsidiaries or representatives with access to such documentation upon request of DKSH. Supplier understands and agrees that DKSH or its representatives may engage in monitoring activities to assess compliance with this Code, including visits to Supplier’s facilities and review of books and records pertaining to DKSH’s business with the Supplier. Supplier furthermore understands that DKSH has no obligation to monitor Supplier and Supplier is solely responsible to ensure compliance with this Code by Supplier Associates.
공급업체는본규범의준수및해당규정준수를증명하는데필요한모든문서를보관해야하며DKSH의요청에따라DKSH,그자회사또는대리인에게해당문서에대한액세스권한을제공해야합니다.공급업체는DKSH또는그대리인이공급업체의시설방문및공급업체와의DKSH사업과관련된장부및기록검토를포함하여DKSH또는그대리인이본행동강령준수여부를평가하기위한활동을모니터할수있음을이해하고동의합니다.공급업체는또한DKSH가공급업체를모니터링할의무가없음을이해하고공급업체가본강령을준수할책임은전적으로공급업체에게있습니다

• Supplier must immediately report to DKSH (through notification to my.compliance@dksh.com) any known or suspected improper behavior under this Code, including such behavior by Supplier Associates or by employees of DKSH and its subsidiaries.
공급업체는공급업체,DKSH및그자회사의직원의행동을포함하여이강령을위반하거나,부적절하거나의심되는행동을알게될경우즉시DKSH에보고해야합니다.(compliance@dksh.com에통보).
